UUBO Advises Helios Investment Partners on Mandatory Takeover Offer for Beta Glass Plc

Udo Udoma & Belo-Osagie (“UUBO”) is pleased to have advised Helios Investment Partners (“Helios”), a leading pan-African private equity firm, on the mandatory takeover offer (“MTO”) by its special purpose vehicle, Emerald HoldCo B.V. (“Emerald HoldCo”), following its indirect acquisition of control in Beta Glass Plc (“Beta Glass”).

UUBO had earlier advised on Helios’ indirect acquisition of majority stakes in Beta Glass and Frigoglass Industries Nigeria Limited (now Packaging Industries Nigeria Limited), providing Nigerian corporate, regulatory and antitrust advice in connection with the acquisition. On the MTO, UUBO worked closely with Rand Merchant Bank Nigeria Limited, acting as financial adviser, on the structuring and implementation of the MTO, including engagement with the Securities and Exchange Commission to obtain its authority to proceed and registration of the takeover bid.
